These Terms of Service (these “Terms”) govern your access to and use of the website located at aienergybridge.net and any related services, content, or tools made available by AIEnergy Bridge, Inc., a Delaware corporation, together with its subsidiaries and affiliates (“AIEnergy Bridge,” “we,” “us,” or “our”) (collectively, the “Site”). By accessing or using the Site, you (“you” or “User”) agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.
1.About AIEnergy Bridge, Inc.
AIEnergy Bridge, Inc. is the entity that owns and operates the Site and is responsible for the content, services, and information made available through it. AIEnergy Bridge, Inc. is located at 101 Creekstone Blvd, Suite 100 PMB#743, Franklin, TN 37064. AIEnergy Bridge, Inc. is the responsible business entity for all matters relating to the Site, including as further described in our Privacy Policy.

The Site is intended for use by businesses, organizations, and individuals acting in a professional capacity in connection with modular data center infrastructure, GPU-as-a-Service offerings, fiber and engineering feasibility assessments, and related services. By using the Site, you represent that you have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
3.Description of Services
AIEnergy Bridge, Inc. provides information regarding, and facilitates inquiries related to, modular compute unit development, GPU procurement and GPU-as-a-Service solutions, fiber and networking feasibility studies, site assessments, infrastructure planning, and related advisory and partnership services (collectively, the “Services”). Information presented on the Site is for general informational purposes and does not constitute a binding offer unless expressly stated in a separate signed agreement.
4.Use of the Site
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- use the Site in any way that violates any applicable federal, state, local, or international law or regulation;
- attempt to gain unauthorized access to any portion of the Site, other accounts, or computer systems or networks connected to the Site;
- interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available;
- use any automated system, including “bots,” “spiders,” or “scrapers,” to access the Site without our prior written consent;
- misrepresent your identity or affiliation with any person or entity, or impersonate any other person; or
- submit false, misleading, or fraudulent information through any form, inquiry, or communication channel on the Site.
5.Intellectual Property
All content on the Site, including text, graphics, logos, images, trademarks (including the AIEnergy Bridge, Inc. name and logo), and software, is the property of AIEnergy Bridge, Inc. or its licensors and is protected by applicable intellectual property laws. Except as expressly permitted, no part of the Site may be reproduced, distributed, modified, or used to create derivative works without our prior written consent.
6.Third-Party Links and Content
The Site may contain links to third-party websites or resources, including partner and vendor websites, that are not owned or controlled by AIEnergy Bridge, Inc.. We are not responsible for the content, accuracy, or practices of any third-party websites and do not endorse any products, services, or information found on those sites. Access to any third-party website is at your own risk.
7.No Warranties
The Site and all Services, information, and materials made available through it are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of content. AIEnergy Bridge, Inc. does not warrant that the Site will be uninterrupted, secure, or error-free.
8.Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall AIEnergy Bridge, Inc., its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with your use of, or inability to use, the Site, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to these Terms or the Site shall not exceed one hundred dollars ($100).
9.Indemnification
You agree to indemnify, defend, and hold harmless AIEnergy Bridge, Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.
10.Governing Law and Dispute Resolution
These Terms shall be governed by, and construed in accordance with, the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site shall be resolved through good-faith negotiation and, if necessary, binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, with the seat of arbitration in Delaware, unless otherwise agreed by the parties in writing.
11.Changes to These Terms
AIEnergy Bridge, Inc. may update or modify these Terms from time to time. The updated Terms will be posted on the Site with a revised “Effective Date.” Your continued use of the Site following any such changes constitutes your acceptance of the revised Terms.
12.Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
